ÖZER MUTUAL AID EDUCATION FOUNDATION (ÖYEV)
FOUNDATION:
Article 1- The name of the foundation is Özer Mutual Aid Education Foundation. The abbreviated name of the foundation shall be ‘ÖYEV’.
Hereinafter, the word ‘foundation’ used in this foundation deed shall refer to this foundation.
FOUNDATION HEADQUARTERS:
Article 2- The headquarters of the foundation is located in Tepebaşı District, Eskişehir Province, at the address: Batıkent Mahallesi, Bülent Ecevit Bulvarı, No:14-B, Tepebaşı/ESKİŞEHİR.
Within the framework of the relevant legislation, branches and representative offices may be opened within or outside the country by decision of the foundation's board of directors.
PURPOSE OF THE FOUNDATION:
Article 3- To engage in activities in the fields of education, health, economic and cultural solidarity and development; to support scientific, educational, economic and cultural research projects and activities related to these fields both domestically and internationally; to establish and open educational and teaching institutions in all fields and levels, including these areas; to address the problems of people in need from all segments of society; to provide material and moral support; and to assist those without economic means.
FOUNDATION ACTIVITIES:
Article 4-
A) In the Field of Education:
The Foundation shall allocate a certain percentage of the funds allocated for education, health, economic and cultural services each year, as determined by the Foundation's Board of Directors, to educational services.
a) The Foundation may award scholarships within the scope of educational services. The following principles shall be adhered to in particular when awarding educational scholarships:
To the extent that the Foundation's resources permit, scholarships shall be awarded to successful, talented and low-income students studying in all grades and levels of primary, secondary, university and higher education institutions or in equivalent vocational and technical schools, in all languages and disciplines.
In selecting students to benefit from the allocated scholarships, the student's success and the economic hardship of their family shall be taken into account, and cooperation may be sought with officials at the educational institution to which the student belongs.
Those who receive financial assistance for education from any other public or private institution, under any name whatsoever, are not eligible for the scholarship.
Education scholarships are awarded for one academic year and may be renewed for each subsequent academic year, provided that the student's academic success and the financial hardship of their family continue, thus continuing the scholarship for the duration of their education.
The foundation's board of trustees shall determine the conditions necessary for the continuation of the scholarship and shall decide on the termination and renewal of the scholarship in accordance with these conditions. The foundation's board of trustees shall determine how to proceed in the event of illness or other force majeure circumstances.
Scholarships are essentially non-repayable. However, students benefiting from scholarships may be encouraged to repay them once they begin to earn a living. Any such repayments shall be added to the education and scholarship fund.
Furthermore, scholarship recipients may be encouraged to engage in voluntary services in line with the foundation's objectives, based on their field of study and skills, both while they are students and after they have entered the workforce.
b) Subject to compliance with the Private Education Institutions Act, the Foundation may, to the extent its resources permit, establish and operate kindergartens, primary and secondary schools, higher education institutions and universities in any language and field; it may also become a partner in existing or future such institutions; it may also establish libraries, special education and rehabilitation centres, special education schools, private teaching courses, vocational training centres, reading rooms, and courses, and may publish materials in visual and written form (except for establishing radio and television stations), organise seminars, symposiums, conferences, and panels, and assist individuals and legal entities conducting scientific research for the purpose of disseminating knowledge.
B) In the Field of Health:
The Foundation shall allocate a certain percentage of the funds allocated annually for education, health, economic and cultural services, as determined by the Foundation's board of directors, to health services.
Within the scope of health services and to the extent possible, the Foundation shall monitor developments in the field of health both domestically and internationally;
a) It may procure any equipment and supplies required by modern medicine, either free of charge or for a fee, and make them available for the benefit of the community,
b) It may provide financial and in-kind assistance to individuals in need of temporary or permanent support in all segments of society to meet their health-related needs on a continuous, fixed-term, or one-off basis,
b) Provide cash and in-kind assistance to individuals in need of temporary or permanent assistance from all segments of society on a continuous, fixed-term or one-off basis to support their healthcare needs, and cover their healthcare expenses,
c) Construct, establish, partner in, and operate all kinds of healthcare facilities,
d) Conduct education and research to raise public awareness, publish periodicals or non-periodicals in this field, organise seminars, symposiums, panels and scientific meetings, and support domestic or international scientific, educational and research projects,
e) Support those engaged in research and specialisation in the field of health, and provide scholarships, cash and accommodation assistance to students at all levels of education in the field of health,
C) In the Economic Field:
The Foundation may allocate a certain percentage of the funds set aside each year for education, health, economic and cultural services, as determined by the Foundation's board of directors, for economic services.
Within the scope of economic services, the Foundation may, to the extent possible:
a) Provide cash, food, clothing, fuel and other assistance on a continuous, fixed-term or one-off basis to individuals in need of temporary or permanent assistance from all segments of society. For this purpose, it may engage in food banking and establish and operate food banks.
b) Provide cash and in-kind support to needy students in primary, secondary, higher education, university, master's and doctoral programmes who require accommodation, as well as to students who must reside in housing and individuals from all segments of society who require housing support. For these purposes, it may construct dormitories and accommodation facilities, take over existing ones to put them into operation, and carry out activities for this purpose.
D) In the Cultural Field:
The Foundation may allocate a certain percentage of the funds set aside each year for education, health, economic and cultural services, as determined by the Foundation's board of directors, to cultural services.
Within the scope of cultural services, the Foundation may, to the extent its resources permit:
a) Organise conferences to help foster a sense of social solidarity and cooperation within the community, organise panels, seminars and symposiums, and provide in-kind and cash assistance to individuals, public and private legal entities, associations, foundations and institutions that engage in activities aimed at raising the cultural level of society, accelerating moral development, and increasing feelings and activities of kindness and mutual aid, and that produce any kind of written or visual publications.
b) It may carry out creative, collecting, protective, promotional and encouraging work in the fields of science, culture and art and, for this purpose, may allocate funds to services that will contribute to the integration of our national culture by establishing awards.
c) It may organise domestic and international travel programmes for individuals serving in the foundation's organs, members of the foundation's board of directors, their relatives and acquaintances, and other individuals who wish to participate, and may contribute to their accommodation in recreational and tourist facilities.
d) It may organise breakfasts, picnics, and dinners on special occasions.
ACTIVITIES AND TRANSACTIONS THAT THE FOUNDATION MAY UNDERTAKE TO ACHIEVE ITS PURPOSE:
Article 5- In order to achieve its purpose, the Foundation may acquire and use movable and immovable property through donations, bequests, purchases and leases, and may sell, transfer, assign, lease, collect income from and spend the proceeds of such property in accordance with the provisions of the law governing foundations. to use one or more immovable properties or their income included in the foundation's assets for investment one or more times, to manage and dispose of movable and immovable property and money acquired through donations, bequests, purchases, and other means, provided that this does not conflict with the foundation's purpose and services, to acquire securities and to evaluate and sell them in accordance with the foundation's purpose, to cooperate with domestic and foreign associations and foundations, real and legal persons engaged in activities similar to the foundation's purposes, to receive assistance from entities other than public institutions and organisations, to enter into agreements to secure such assistance, to accept rights in rem other than ownership rights, such as usufruct, right of use, right of habitation, right of superstructure, pledge, and mortgage, over immovable property, to use these rights, to obtain all kinds of guarantees, including pledges and mortgages on movable and immovable property, for contracts to be established with its current or future income, to accept valid bank guarantees, to borrow when necessary to achieve the foundation's objectives and services, to provide guarantees, pledges, mortgages and other securities, to generate income from projects and all kinds of activities carried out and to be carried out in accordance with the foundation's objectives and services, and to establish economic enterprises and companies that will operate according to normal business principles for the purpose of generating income for the foundation, and to participate in existing ones, to operate these directly or have them operated by an operator under its control, to enter into initiatives, savings, property acquisitions, construction and similar contracts deemed useful and necessary for the realisation of one or all of the foundation's objectives and services, as authorised and empowered by Article 48 of the Turkish Civil Code.
The foundation may not use these powers and revenues for purposes prohibited by the Turkish Civil Code.
FOUNDATION'S INITIAL ASSETS:
Article 6- The foundation's initial assets consist of 540.000,00 TL (FIVE HUNDRED AND FORTY THOUSAND TURKISH LIRAS) allocated to the foundation by the founders.
The founding assets may be increased by additions to the assets following the establishment of the foundation.
FOUNDATION REVENUES AND ALLOCATIONS:
Article 7-
a) In addition to the initial endowment, the Foundation may acquire any property and rights, either domestically or abroad, in whole or in part, through donation, bequest, or other means. It may hold rights in rem other than ownership, such as usufruct and habitation rights, or acquire such rights by any legal means. b) Members of the Foundation Management Board shall pay a monthly contribution of 10.000,00 TL per person to the Foundation.
b) The amount of this membership fee to be paid by the members of the Foundation Management Board may be increased by a decision of the Foundation Management Board.
c) Accept all kinds of conditional and unconditional donations and aid.
d) Various revenues to be obtained from the activities of the Foundation.
e) Revenues to be obtained from economic enterprises, participations and partnerships.
f) Income generated from the valuation of the Foundation's movable and immovable property and other assets and rights.
At least two-thirds of the foundation's annual gross income shall be allocated and spent on the foundation's objectives, with the remainder allocated to administrative and maintenance expenses, reserves, and investments to increase the foundation's assets.
THE FOUNDATION'S BODIES:
Article 8- The bodies of the Foundation are as follows:
a) Foundation Management Board:
The affairs and administration of the Foundation shall be conducted by a three-member management board. The deputy chairperson, treasurer and secretary shall be elected by the administrative board for a term of two years. The management board may, if it so wishes, employ one or more persons from outside the Foundation on a paid basis.
i) Membership of the board of directors continues for life.
In the event that a board position becomes vacant due to death, resignation, or if a member is unable to perform their duties as a board member due to reasons specified in the Civil Code, the board of directors shall be convened by the Chairperson within 10 days of the date of vacancy or incapacitation.
At this meeting, a member shall be elected to the vacant position by unanimous vote of the current board members from among the candidates nominated by the current board members. Board members may not abstain or refrain from voting in the election of a member.
In the event of a vacancy in the chairmanship, the duties specified in the above paragraphs shall be performed by the deputy chairperson. If the deputy chairperson is also unable to perform their duties, the remaining board member shall perform the duties of the chairperson.
ii) Müjgan ÖZER shall serve as chairperson of the board of directors throughout her lifetime. Upon her death, the board of directors shall be convened immediately by the deputy chairperson to elect a new member in accordance with clause (i). Following the election of the member and their participation in the first meeting, the board members shall elect a chairperson for a two-year term. The chairperson election is renewed every two years. The same person may be elected chairperson for subsequent terms.
b) Audit Committee
The audit committee is a body established to audit the foundation's activities and accounts. The audit of the foundation's affairs is carried out by an audit committee consisting of three persons.
BOARD OF DIRECTORS MEETING AND DECISION PRINCIPLES:
Article 9- The Board of Directors meets at least once a month, convened by the foundation president or two members, with a majority present. Decisions are taken by majority vote. In the event of a tie, the president's vote counts as two votes. A member who fails to attend three consecutive meetings is deemed to have resigned. A member unable to attend a meeting may appoint another member as their proxy.
DUTIES, AUTHORITY AND RESPONSIBILITIES OF THE BOARD OF DIRECTORS:
Article 10-The board of directors is the administrative, representative and executive body of the foundation.
In this capacity, the board of directors:
a) Takes and implements all decisions in line with the foundation's objectives.
b) Ensures that the foundation's activities are carried out regularly and efficiently. In this context, it prepares the necessary internal regulations.
c) Carries out the necessary work regarding the evaluation of the foundation's assets and the acquisition of new financial resources.
d) Takes the necessary initiatives and carries out transactions on behalf of the foundation's legal entity with all real and legal persons on legal, financial and other matters.
e) Appoints a director to the foundation, provided that their duties, powers and responsibilities are clearly defined in advance, may establish a foundation general secretariat or similar auxiliary units, and may terminate their duties when necessary.
f) Determines the personnel to be employed by the foundation, makes their appointments, determines their salaries, and terminates their employment when necessary.
g) Decides on the opening and closing of branches and representative offices within and outside the country, in accordance with the relevant legislation, and carries out the necessary procedures in this regard.
h) Monitors and controls the foundation's accounting affairs and ensures that income and expenditure statements and balance sheets are prepared at the end of the accounting period, sent to the relevant authority, and published.
i) Keeps the necessary records and implements the annual budget.
j) Makes additions and amendments to the foundation deed when necessary.
k) Performs other duties required by relevant legislation, the foundation deed and the foundation's internal regulations.
APPOINTMENT OF A DEPUTY:
Article 11- The board of directors may assign, appoint as representatives or deputies, one or more of its members, or any one or more of its authorised officers and employees, within the principles it specifies, for general or specific matters and issues.
AUDIT:
Article 12- The foundation is audited internally by the Audit Committee and generally by the General Directorate of Foundations.
REMUNERATION:
Article 13- Members of the Board of Directors shall carry out all their work on a voluntary basis and shall not receive any remuneration or similar payment from the foundation.
AMENDMENT OF THE OFFICIAL DEED:
Article 14- Amendments to the foundation deed shall be made by a unanimous decision of the Board of Directors and a decision issued by the court.
TERMINATION OF THE FOUNDATION:
Article 15- In the event of the termination of the foundation for any reason, any remaining assets and rights after the liquidation of debts shall be transferred to the Turkish Education Volunteers Foundation.
The termination of the foundation is possible by a unanimous decision of the Board of Direction and approval of the court.
